Our client, a 5-star hotel in Nairobi, is looking to hire a Company Secretary//In house Legal Counsel whose principal responsibility will involve providing company secretarial work and legal advisory services to the Group and its Subsidiaries.
Key Responsibilities
- Arranging and attending Board and Committee meetings for the Group and its Subsidiaries.
- Arranging and attending shareholder general meetings for the Group and its Subsidiaries.
- Preparation of minutes of all meetings of the shareholders, Company Boards and Board Committees.
- Preparation and filing of Annual Returns for the Group and its Subsidiaries.
- Provision of custody services for all statutory documents, legal documents, legal agreements and all minutes of Board and Committee meetings.
- Custody and control of the usage of the company seals for the Group and its Subsidiaries.
- Updating the Board and Committee members on all governance issues, and implementation of the Code of Conduct and Ethics.
- Review of all leases between the Group entities and third parties.
- Review of all legal documentation relating to property transactions between the Group entities and third parties.
- Preparation and review of agency agreements and handling of related litigation matters.
- Review and advice on agreements between the Group Subsidiaries and industry members relating to shared business acquisition.
- Advising the Group and its Subsidiaries on regulatory changes relating to insurance and fund management sectors.
Qualification & Experience
- Law Degree from a recognized university
- Be a member of the Law Society of Kenya and the Institute of Certified Secretaries.
- Be an advocate of the High Court of Kenya.
- A minimum of 5 years’ relevant experience in company secretarial responsibilities preferably in the finance industry.
- Capacity to demonstrate skills in leadership and communication at the Board level.
